Terms and Conditions of Business
These terms and conditions of business regulate the provision of charity consultancy services by Moira Protani Limited.
1. Services to be provided
The services to be provided to each Client will be as instructed in writing by that Client and accepted in writing by the Company. No variation to the services so instructed and accepted will be binding on the Company or the Client unless accepted in writing by both parties. The Company's expertise is in charity law and the Company does not advise in other areas of law including but not limited to corporate, tax, property and employment law.
2. Provision of Services
All services to be provided by the Company will, unless otherwise agreed in writing with the Client, be provided by Moira Protani.
3. Charges
All services to be provided by the Company will be charged at such hourly charge rate (“the Standard Rate”) and, where relevant, for such amount as shall be agreed in writing with the Client. Any person other than Moira Protani who provides services to the Client with the consent of the Client, will be charged at such separate hourly rate as shall be agreed for such purpose with the Client. Expenses incurred in the provision of services will be charged at cost. VAT will be charged as appropriate. Charges will be invoiced at the end of each calendar month and will be payable on delivery.
4. Use of Email
Email will be used as the standard basis of communication. However, owing to the inherently insecure nature of email as a public network, any Client who wishes the Company not to use email for the transmission of any specific commercially sensitive or confidential information, should so advise the Company in writing.
5. Intellectual property rights
The rights in all intellectual property generated in consequence of any services provided by the Company for the Client shall, unless otherwise agreed in writing by the Client, belong solely to the Client.
6. Confidential information and disclosure
The Company shall treat all information received from a Client as confidential and shall not disclose the same to any third party save as may be required by law for the proper provision of the services agreed to be provided for the Client or as may otherwise be agreed in writing by the Client.
7. Liability
The Company shall have no liability for any consequential loss or damage howsoever suffered or incurred by any Client following the provision of or failure in the provision of any services by the Company to the Client.
8. Law
The provision of all services by the Company shall be subject to English law and the English courts shall have exclusive jurisdiction in respect of all claims and proceedings relating to such services.
